Welcome to Gal3n (“Company,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platforms, software applications, services, and any related devices or systems (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Gal3n provides technology that supports healthcare services, including remote patient monitoring, telehealth tools, and related equipment and integrations. The Services may include access to features such as monitoring dashboards, communication tools, data transmission, and device connectivity.

You must be at least 18 years old (or the age of legal majority in your location) to use the Services. By using the Services, you confirm that you meet this requirement.

If you are using the Services on behalf of a company, medical facility, or provider organization, you represent that you have authority to bind that entity to these Terms.

Gal3n does not provide medical advice, diagnosis, or treatment. The Services are intended to support healthcare professionals and/or authorized users.

Do not use the Services for medical emergencies.
If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.

Gal3n does not replace clinical judgment. Any health-related decisions must be made by licensed providers.

To access certain features, you may need to create an account.

You agree to:

• Provide accurate and complete information

• Keep login credentials confidential

• Notify us immediately of any unauthorized access

• Be responsible for all activity under your account

We may suspend or terminate accounts if we believe misuse, fraud, or unauthorized access is occurring.

You agree not to use the Services to:

• Violate any laws or regulations

• Infringe intellectual property or privacy rights

• Transmit viruses, malware, or harmful code

• Access systems or data without authorization

• Interfere with the operation, security, or performance of the Services

• Reverse engineer, copy, or exploit the Services without permission

We reserve the right to restrict or block users who violate these Terms.

Gal3n provides tools that may collect, transmit, or display health-related data such as vital signs and telemetry.

You understand that:

• Results may vary based on device placement, connectivity, user environment, and device conditions

• Data may be delayed, incomplete, or interrupted

• The Services may not detect every condition or event

Gal3n does not guarantee continuous monitoring, uninterrupted transmission, or error-free data.

Some Services may include or interact with hardware components (such as remote monitoring kits, stands, tablets, or other equipment).

You agree to:

• Follow all setup instructions and safety guidance

• Use equipment only as intended

• Not tamper with or modify devices

• Maintain proper use, charging, storage, and connectivity requirements

We are not responsible for issues caused by improper handling, misuse, third-party modifications, or user error.

Gal3n may integrate with third-party platforms such as:

• communication tools

• cloud service providers

• healthcare systems

• EHR/EMR solutions

• SMS, voice, or notification providers

Third-party services are governed by their own terms and policies. We are not responsible for third-party systems, availability, downtime, or changes.

Your use of the Services is also subject to our Privacy Policy.

If you are a healthcare provider or covered entity using Gal3n in a clinical setting, HIPAA-related obligations may apply, and you may need a separate agreement such as a Business Associate Agreement (BAA), depending on how protected health information (PHI) is handled.

All content and materials provided through the Services, including but not limited to:

• software

• logos

• designs

• dashboards

• text

• icons

• graphics

• device configurations

are owned by or licensed to Gal3n and are protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services for authorized purposes only.

If you provide suggestions, ideas, or feedback, you grant Gal3n the right to use and implement it without compensation or restriction.

We may update, modify, suspend, or discontinue any part of the Services at any time, including features, pricing, or support.

We do not guarantee the Services will always be available or uninterrupted.

We do not guarantee:

• specific medical outcomes

• increased revenue or operational success

• uninterrupted uptime

• error-free monitoring

Use of the Services is at your own risk.

To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied, including:

• fitness for a particular purpose

• merchantability

• non-infringement

• uninterrupted performance

• accuracy of transmitted data

To the maximum extent permitted by law, Gal3n and its owners, employees, contractors, affiliates, and partners will not be liable for:

• indirect, incidental, or consequential damages

• loss of profits, revenue, or data

• service interruptions or downtime

• device errors or connectivity failures

• medical decisions made by users or providers

In no event shall Gal3n’s total liability exceed the amount you paid (if any) to use the Services in the three (3) months prior to the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Gal3n from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• your misuse of the Services

• your violation of these Terms

• your violation of any law or third-party rights

• your handling of patient data or clinical decisions

We may suspend or terminate access to the Services at any time if:

• you violate these Terms

• misuse, fraud, or security concerns occur

• required by law

You may stop using the Services at any time.

Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification will survive termination.

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes must be brought in the courts located in Miami-Dade County, Florida, unless otherwise required by law.

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of the Services means you accept the updated Terms.
